Terms and Conditions
These Terms and Conditions (“Terms”) govern access to and use of https://supermedal.com, including its pages, content, and waitlist form (the “Site”).
The Site is operated by One Small App Inc, doing business as Supermedal (“Supermedal,” “we,” “us,” or “our”). Our mailing address is 262 Chapman Rd, Ste 240, Newark, DE 19702, USA. Our general contact email is contact@supermedal.com.
Please read these Terms carefully. When you affirmatively agree to them through the Site, they form a binding agreement between you and us.
1. Accepting these Terms
When you check a box, select a button, or take another action that expressly states that you agree to these Terms, you agree to be bound by them. If you do not agree, do not join the waitlist.
If you only browse the Site, these Terms describe the conditions on which we make the Site available. We will not rely only on passive browsing as assent to a provision where applicable law requires affirmative agreement.
Our Privacy Notice explains how we handle personal information. Acknowledging the Privacy Notice is not consent to every data practice; where the law requires separate consent, we will ask for it separately.
2. The Site and waitlist
The Site currently provides preliminary information about Supermedal and lets eligible visitors request waitlist and launch communications.
Joining the waitlist is free. It does not:
- create a customer or product account;
- place an order or preorder;
- reserve a product, price, inventory, service, invitation, or waitlist position;
- create a subscription, membership, ownership interest, token, credit, or other property right;
- enter you into a contest or sweepstakes;
- guarantee early access, launch, availability, geographic coverage, timing, pricing, or any feature; or
- obligate you or us to enter into a future transaction.
Descriptions, images, demonstrations, roadmaps, target dates, and proposed features are preliminary and may change or be discontinued. Future products or services may be subject to additional or replacement terms presented before you create an account, purchase, or use them.
3. Eligibility
You may join the waitlist only if you are at least 13 years old and are not prohibited from using the Site by applicable law. If you are under 18, you should use the Site with a parent or guardian’s permission. The Site is not directed to children under 13, and children under 13 must not submit personal information.
Do not submit another person’s email address without authorization.
4. Joining and leaving the waitlist
To join, provide an email address that you control and information that is accurate and current. You may not use automated means, create fraudulent or excessive duplicate submissions, sell or transfer a submission, interfere with the waitlist, or bypass security and rate controls.
We may validate, reject, consolidate, suspend, or remove submissions when reasonably necessary to address error, abuse, duplication, security, technical issues, or legal obligations. We may determine the timing, order, regions, eligibility criteria, and number of invitations consistently with applicable law. Any displayed sequence number is informational unless we expressly say otherwise.
You may leave the waitlist by using an unsubscribe link or contacting contact@supermedal.com. Leaving may prevent us from notifying you about launch or availability. We may keep a minimal suppression record when needed to honor your opt-out.
5. Email communications
By joining, you request waitlist confirmation, material waitlist-status updates, launch-availability information, and an invitation if access becomes available. We will not send general promotional newsletters unless you separately opt in.
Where consent is the required legal basis, you consent only to the message categories described in this section. Joining the waitlist is not consent to unrelated advertising, third-party marketing, or materially broader message categories. We will request a separate opt-in before expanding the scope where required.
You may unsubscribe from commercial email at any time through the link in the message or by contacting us. We will process the request within the time required by applicable law. Consent to marketing is not a condition of a purchase; the current Site offers no purchases.
We may still send a confirmation of your request, an unsubscribe confirmation, legally required notices, or security-related communications where permitted by law. Message frequency may vary.
6. Privacy
Please review our Privacy Notice before submitting personal information. It describes the information we collect, purposes and legal bases, recipients, transfers, retention, security, device storage, choices, and privacy rights.
7. Limited permission to use the Site
Subject to these Terms, we grant you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable permission to access and use the Site for lawful, noncommercial purposes. This does not transfer ownership of the Site or its content. We reserve all rights not expressly granted.
8. Intellectual property
The Site and its content—including text, graphics, interfaces, designs, artwork, photographs, video, audio, software, code, logos, names, trademarks, and their selection and arrangement—are owned by or licensed to us and protected by applicable law.
“Supermedal,” associated logos, and other branding may not be used without written permission. Other names and marks belong to their respective owners.
Except as these Terms or applicable law permit, you may not copy, modify, distribute, publicly display, publish, license, sell, commercially exploit, or create derivative works from the Site or its content.
9. Feedback
If you voluntarily send us ideas, suggestions, or other feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, and nonexclusive license to use and develop that feedback for any lawful purpose. Do not submit confidential information or material you do not have permission to share. This section does not give us ownership of personal information, which remains subject to the Privacy Notice and applicable law.
10. Acceptable use
You must not:
- violate applicable law or another person’s rights;
- impersonate another person or submit unauthorized information;
- introduce malware or harmful code;
- probe or test vulnerabilities without written authorization;
- bypass access, rate, security, or technical controls;
- disrupt or overload the Site or its infrastructure;
- scrape or harvest data by automated means except as expressly permitted by us or applicable law;
- reverse engineer Site software except where applicable law expressly permits it;
- infringe intellectual-property, privacy, publicity, or other rights; or
- assist another person in doing any of these things.
We may investigate suspected misuse and cooperate with lawful requests from public authorities.
11. Third-party services and links
The Site may link to or use services operated by third parties. Their own terms and privacy practices apply. A link or integration does not mean that we endorse or control the third party. To the extent permitted by law, we are not responsible for third-party content, availability, products, services, security, or practices.
12. Availability and changes
We may modify, suspend, restrict, or discontinue any part of the Site or waitlist. We do not guarantee uninterrupted, secure, accurate, or error-free availability. Nothing on the Site is a binding commitment to launch, develop, sell, or support a particular product, feature, price, or service.
13. Changes to these Terms
We may update these Terms prospectively to reflect changes to the Site, our practices, or applicable law. We will revise the “Last updated” date and publish the new version. If a change materially affects waitlisted users, we will provide additional notice where reasonably appropriate or legally required, such as by email or a prominent Site notice. If renewed assent is required, we will request it.
14. Disclaimers
The Site is a preliminary preview and waitlist, not a finished product or offer for sale.
To the fullest extent permitted by law, the Site, waitlist, and content are provided “as is” and “as available.” We disclaim express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and availability.
We do not warrant that Supermedal will launch; that a feature, date, price, region, or description will remain unchanged; that you will receive an invitation; or that the Site will be uninterrupted or error-free.
Some jurisdictions do not permit certain exclusions, so these disclaimers apply only to the extent permitted by law. Nothing in these Terms limits nonwaivable consumer rights.
15. Limitation of liability
To the fullest extent permitted by law, we and our affiliates, officers, directors, employees, contractors, licensors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, business opportunity, goodwill, or data, arising from the Site, waitlist, or these Terms, even if advised that such damages were possible.
To the fullest extent permitted by law, our total aggregate liability for claims arising from the Site, waitlist, or these Terms will not exceed the greater of US $100 or the amount you paid to use the Site during the preceding 12 months.
These limitations do not exclude liability that cannot lawfully be excluded, including any applicable liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence. Each limitation applies only to the maximum extent permitted in the relevant jurisdiction.
16. Informal dispute resolution
Before filing a lawsuit, you and we agree to make a good-faith effort to resolve a dispute informally. Send a notice to contact@supermedal.com describing the dispute and requested relief. If it is not resolved within 30 days after receipt of a complete notice, either party may pursue available remedies.
Nothing prevents a party from seeking urgent relief where delay would risk immediate and irreparable harm.
17. Governing law and courts
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
A dispute arising from the Site, waitlist, or these Terms will be brought in the state or federal courts located in New Castle County, Delaware, and each party consents to their jurisdiction and venue.
This choice does not deprive a consumer of mandatory legal protections or a forum that cannot lawfully be waived where the consumer lives.
18. General terms
These Terms and any additional terms to which you separately agree are the entire agreement concerning the Site and waitlist. A failure to enforce a provision is not a waiver. If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent and the rest will remain effective.
You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, reorganization, financing, sale of assets, or transfer of the relevant business, subject to applicable law.
Where permitted, we may provide notices through the Site or by email to the address associated with your waitlist submission. Provisions that by their nature should survive will survive, including intellectual-property, feedback, disclaimers, liability, disputes, and these general terms.
